Memorandum of Understanding between Abu Dhabi City (United Arab Emirates) and Astana City (Republic of Kazakhstan)



This Memorandum of Understanding (hereinafter referred to as the «MoU») is entered into on the day of 23/05/ 2017 between the parties as follows:


First Party:

Abu Dhabi City  – U.A.E. P.O. Box (3), represented for the signature of this MoU by: 

His Excellency Eng. Awaidha Murshed Al Marar in his capacity as the Chairman of the Department of Municipal Affairs & Transport in Abu Dhabi.


Second Party:

Astana City (Republic of Kazakhstan), hereinafter referred to as the «Second Party»), (P.O. Box: 010000), represented for the signature of this MoU by: 

His Excellency Mr. Asset Issekeshev, in his capacity as the Mayor of Astana city.


Each shall be referred to herein either individually as a Party or collectively as the Parties,


Article (1)


This agreement shall be named Memorandum of Understanding between Abu Dhabi City – United Arab Emirates and Astana City – Republic of Kazakhstan.

The above preamble shall constitute an integral part of this MoU.


Article (2)

MoU Objective

This Memorandum of Understanding aimed at strengthening bilateral relationship and cooperation between the people of the UAE and Kazakhstan in areas of common interest. Recognizing the importance of this relationship, the Parties desire to expand and intensify cooperation and coordination between them on the basis of equality and mutual benefit.


Article (3)

Establishment of Strategic Cooperation

The Parties shall enter into a cooperative arrangement to provide an effective framework for exchange of experience and best practices in the field of services and building and Construction Sector, infrastructure and transport, examine ways to improve services, create an appropriate regulatory framework, and explore mutually beneficial partnerships, both public and private, in the two respective localities. This will occur in conformity with the prevailing laws and regulations in their respective countries.


Article (4)

The Parties hereby shall establish a relationship between the cities of Astana and Abu Dhabi on the basis of equality and mutual benefit.


Article (5)

The Parties shall encourage the regular exchange of information and experience in the field of the municipal services, in addition to exchange visits between the creative teams, prominent cultural figures and the organization of art exhibitions.


Article (6)

The Parties shall work to improve new areas of innovation cooperation and other forms of cooperation to manage resources efficiently between the two cities.


Article (7)

The Parties shall examine the possibility of development and implementation of joint projects on the basis of mutual benefit.


Article (8)

The Parties  express their readiness to consider the problems that may arise when implementing this MoU, and take the required procedures to find an amicable solution as mutually agreed upon by the Parties.


Article (9)


The parties hereto shall keep proper records in relation to all matters under this MoU.


Article (10)


No modification, change, omission and/or addition to any clause or item in this MoU are permitted without prior written agreement of the Parties.


Article (11)


The Parties undertake that they shall maintain the confidentiality of all information and data received under this MoU, and shall not disclose the same unless authorized in writing by the other Party, owner of such information or data.


Article (12)

Intellectual Property

The Parties shall undertake to observe intellectual and literary property rights or owned by the other Party and avoid infringement upon them.


Article (13)


This MoU is made of two original copies in Arabic, Kazakh, and English, in the city of Astana on 23/05/2017, each party shall have its own text for action. In case of any divergence in interpretation, the English text shall prevail.


Article (14)

Further Cooperation

The Parties may exchange opinion and review the scope of cooperation under this MoU in order to expand it. Any such expansion shall be in writing and mutually agreed to by the Parties.


Article (15)

MoU Validity & Termination

The MoU shall have effect as of the date of signing it hereof and remains valid for 5 five years, and can be renewed for similar period, subject to that one party notifies the other party of the desire to renew this MoU by sending a written notice at least 12 months prior to its expiry date, and the acceptance of the other party.

Either party may terminate this MoU at any time by giving six months’ written advance notice to the other party. However, the termination of this memorandum will not affect any earlier commenced procedures or the completion of current and arising joint programs as per the provisions of this MoU.


Article (16)

General Provisions

The relation between the Parties under this MoU shall be independent. Each party shall maintain its legal, organizational and financial independence.

The Parties shall at all times spare no effort and do everything that would help implement the items of this MoU.
